在本规则中,“上市货币权证”(listed currency warrant) 指符合以下说明的权证─
(a) 该权证给予其持有人一项权利,如某指明货币在某指明日期的价值是多于或少于(视属何情况而定)另一指明货币的价值,则该持有人于行使该权证时有权向该权证的发行人收取一笔现金付款;及
(b) 该权证─
(i) 已上市;或
(ii) 没有上市,但可合理预见会在该权证首次要约售卖后14日内上市。

(1) 第3(a)条提述的人是符合以下说明的法团─
(a) 符合第(2)款所列的条件;及
(b) 遵从第(3)款的规定。
(2) 第(1)(a)款提述的条件是─
(a) (i) 该法团具有合资格信贷评级或该法团的任何债务票据具有合资格信贷评级;或
(ii) 该法团的股份直接或间接由具有合资格信贷评级的另一法团或合伙全资拥有,或由其任何债务票据具有合资格信贷评级的另一法团或合伙全资拥有;及
(b) (i) 该法团的主要业务并非杠杆式外汇即期交易;或
(ii) 以该法团的每个财政年度计算,该法团订立的每宗杠杆式外汇即期交易的平均本金额,不少于$7800000。
(3) 该法团须每年在其财政年度完结后的4个月内─
(a) 以书面通知证监会,表示该法团符合第(2)款所列的条件;及
(b) 向证监会提供证监会合理地要求的资料,以令该会能核实该法团符合第(2)款所列的条件。
(4) 如某法团不再符合第(2)(a)款所列的条件,则它须在不再符合该等条件的7日内,以书面将此事通知证监会。
(5) 就本条而言,计算法团订立的每宗杠杆式外汇即期交易的平均本金额的方式,是将该法团在有关财政年度内订立的杠杆式外汇即期交易的所有本金的总额,除以该法团在该财政年度内订立的该等交易的总宗数。

(a) 由本身是该上市货币权证的发行人的法团(不论它是否首述法团)或跟该权证的发行人同属同一公司集团的法团与某持牌法团之间订立的售卖、购买或移转该权证的合约或安排;
(b) 本身是该权证的发行人的法团(不论它是否首述法团)与跟该权证的发行人同属同一公司集团的法团之间订立的售卖、购买或移转该权证的合约或安排;或
(c) 两间跟该权证的发行人同属同一公司集团但本身并非该发行人的法团之间订立的售卖、购买或移转该权证的合约或安排。

Section: 2 Heading: Interpretation Version Date: 01/04/2003



In these Rules, unless the context otherwise requires-
"arbitration panel" (仲裁小组) means the arbitration panel established by section 4;
"arbitrator" (仲裁人) means an arbitrator appointed under any provision of these Rules;
"chairman" (主席) means the chairman of the arbitration panel;
"claimant" (申索人), in relation to a dispute being referred to arbitration, means the party making the claim;
"clerk" (书记) means the clerk to the arbitration panel referred to in section 4(6);
"client contract" (客户合约) means any contract or arrangement between a licensed corporation and its client, which contains terms on which the licensed corporation is to provide leveraged foreign exchange trading services;
"deputy chairman" (副主席) means the deputy chairman of the arbitration panel;
"dispute" (争议) means any dispute between a licensed corporation and a client regarding or touching upon any matter concerning the carrying on of leveraged foreign exchange trading;
"HKIAC" (仲裁中心) means the Hong Kong International Arbitration Centre;
"member" (成员) means a member of the arbitration panel;
"party" (当事一方) means a party to a dispute;
"respondent" (答辩人), in relation to a dispute being referred to arbitration, means the party against whom the claim is made.

Section: 3 Heading: Purpose of these Rules Version Date: 01/04/2003



These Rules govern the resolution of any dispute that is required to be settled by arbitration pursuant to section 118(1)(b) of the Ordinance.


Section: 4 Heading: Constitution of arbitration panel Version Date: 01/04/2003



(1) For the purposes of resolving disputes in accordance with these Rules, there is established a panel to be known as the arbitration panel.
(2) The arbitration panel consists of a chairman, a deputy chairman and other members, to be appointed by the Financial Secretary.
(3) Directors and employees of the Commission are not eligible for appointment as members.
(4) The Financial Secretary may determine the term of office of a member, but a member may resign his office at any time by a notice in writing sent to the Financial Secretary.
(5) If the office of chairman is vacant or the chairman is unable to act as chairman due to illness, other incapacity or absence from Hong Kong, the deputy chairman or failing him, such other member as the Financial Secretary may designate, shall act as chairman in his place.
(6) The arbitration panel shall have a clerk, who shall be appointed by the Commission.
(7) The clerk shall prepare and maintain a list of members, which shall be made available for public inspection at all reasonable times free of charge.

Section: 5 Heading: Commencement of proceedings Version Date: 01/04/2003



PART 2

RULES RELATING TO COMMENCEMENT OF
ARBITRATION PROCEEDINGS

(1) Subject to subsection (3), a client may send a notice in writing, signed by him or on his behalf, to the licensed corporation with which he has a dispute requiring the dispute to be settled by arbitration in accordance with these Rules.
(2) Where the client has not sent a notice in writing under subsection (1)-
(a) the licensed corporation may send to the client with whom it has a dispute a notice in writing (containing the particulars described in subsection (7)(b), (d) and (e)), signed by it or on its behalf, referring the client to his right to require the dispute to be settled by arbitration in accordance with these Rules; and
(b) the client may send to the licensed corporation a notice in writing, signed by him or on his behalf, within 14 days after the receipt of the notice in writing under paragraph (a), requiring the dispute to be settled by arbitration in accordance with these Rules.
(3) Where a licensed corporation has sent to a client a notice in writing under subsection (2)(a) and the client has not sent to the licensed corporation a notice in writing under subsection (2)(b) within the time specified in subsection (2)(b), the client is not entitled to require the dispute to be settled by arbitration in accordance with these Rules.
(4) Subject to subsection (5), despite court proceedings having commenced in respect of a dispute, the client may require that the dispute be settled by arbitration, by sending a notice in writing signed by him or on his behalf to the licensed corporation to that effect within 14 days after the commencement of the court proceedings.
(5) Where a licensed corporation has sent to a client a notice in writing under subsection (2)(a) and the client has not sent to the licensed corporation a notice in writing under subsection (2)(b) within the time specified in subsection (2)(b), subsection (4) does not apply to that dispute.
(6) Arbitration proceedings are deemed to commence on the date on which the notice in writing under subsection (1) or (4), or where applicable, the notice in writing under subsection (2)(b), is sent to the licensed corporation in accordance with section 33.
(7) A notice in writing sent under subsection (1) or (4) shall include-
(a) a demand that the dispute be referred to arbitration;
(b) the names and addresses of the parties;
(c) a reference to the arbitration clause that the client is relying on, where applicable;
(d) a reference to the client contract; and
(e) a brief summary of the dispute, the remedy sought and an indication of the amount of money involved.
(8) Any notice in writing sent under this section by a body corporate or a partnership shall be completed and signed on its behalf by one of its directors or partners (as the case may be).
(9) A party who has sent a notice in writing under this section shall send a copy of the notice to the clerk for filing as soon as reasonably practicable.
(10) During the course of an arbitration under these Rules, neither party may pursue any suit, action or proceedings against the other in respect of the dispute referred to arbitration under these Rules.

Section: 6 Heading: Initial deposit Version Date: 01/04/2003


(1) When a copy of the notice in writing under section 5(1), (2)(a) or (4) is sent to the clerk for filing, the party sending the notice shall deposit with the clerk a sum of $1000.
(2) Where a licensed corporation has sent to a client a notice in writing under section 5(2)(a) and the client has not sent to the licensed corporation a notice in writing under section 5(2)(b) within the time specified in section 5(2)(b), the clerk shall, as soon as reasonably practicable, arrange to return to the licensed corporation the deposit that has been paid by the licensed corporation after deducting any amount reasonably incurred by the arbitration panel.

Section: 7 Heading: Representation Version Date: 01/04/2003


(1) A party may conduct arbitration proceedings in person or be represented by any other person.
(2) Where a party is a body corporate or a partnership, it may be represented by a director or a partner (as the case may be) or any other person authorized by it.
(3) A party shall send the name and address of its representative (if any) or other person (if any) authorized by it under subsection (1) or (2) (as the case may be) to the other party, with a copy sent to the clerk for filing, as soon as reasonably practicable after they have been decided on.
(4) A party shall notify the clerk and the other party immediately of any change of its representative or person authorized by it, or any change in the name or address of the representative or person authorized by it.

Section: 8 Heading: Oaths and affirmation Version Date: 01/04/2003


All evidence shall be given under oath or affirmation.

Section: 9 Heading: Selection of arbitrator Version Date: 01/04/2003


PART 3

THE ARBITRATOR

(1) The chairman shall appoint from the arbitration panel a tribunal consisting of a single arbitrator to conduct the arbitration as soon as reasonably practicable after-
(a) the arbitration has commenced as provided in section 5(6); and
(b) a deposit has been received by the clerk in accordance with section 6(1).
(2) The parties shall provide such information as may be required by the chairman to assist him in the selection of an arbitrator in respect of their arbitration.
(3) The chairman has full discretion in the selection of an arbitrator under these Rules.
(4) The chairman shall notify the parties of his decision on the selection of an arbitrator in respect of their arbitration as soon as reasonably practicable.

Section: 10 Heading: Challenge of arbitrator Version Date: 01/04/2003


(1) A party may challenge an arbitrator if circumstances exist to give rise to justifiable doubts as to the impartiality or independence of the arbitrator.
(2) A party challenging the appointment of an arbitrator shall send a notice of challenge to the clerk setting out the reasons for such challenge, with a copy to the other party, within 14 days of the notification of such appointment or, if later, of his becoming aware of the circumstances giving rise to justifiable doubts as to the impartiality or independence of the arbitrator.
(3) If the other party concurs with the challenge or the challenged arbitrator withdraws from the appointment, the challenged arbitrator's office falls vacant and section 9 applies for the purposes of selecting a new arbitrator. In neither case does this imply acceptance of the validity of the grounds for the challenge.
(4) Where the other party does not concur with the challenge or the challenged arbitrator does not withdraw from the appointment, the chairman shall make a decision on the challenge.
(5) If the chairman upholds the challenge, section 9 applies for the purposes of selecting a new arbitrator.

Section: 11 Heading: Replacement of arbitrator Version Date: 01/04/2003


(1) Section 9 applies for the purposes of selecting a new arbitrator if, during the course of an arbitration, the arbitrator-
(a) has died;
(b) has resigned;
(c) is absent from Hong Kong; or
(d) is unable to act as arbitrator due to illness or other incapacity.
(2) If a new arbitrator is appointed, the hearing of the dispute shall start afresh unless both parties and the new arbitrator agree to continue with the proceedings on the basis of notes of proceedings taken at any such hearing prior to the replacement of the arbitrator.

Section: 12 Heading: Remuneration of arbitrator Version Date: 01/04/2003


The arbitrator is to be paid such remuneration and allowances as the Financial Secretary may determine.

Section: 13 Heading: Conduct of proceedings Version Date: 01/04/2003


PART 4

RULES RELATING TO ARBITRATION PROCEEDINGS

(1) Despite other provisions of these Rules, the arbitrator-
(a) may conduct the arbitration in such manner as he considers appropriate and has the power to adopt, whenever possible, a simplified or expedited procedure and to conduct proceedings to ensure the just, expeditious, economical and final determination of the dispute; and
(b) shall ensure that the parties are treated with equality and that at any stage of the proceedings each party is given a full opportunity to present that party's case.
(2) The arbitrator may, with the consent of the parties, decide whether to hold hearings for the presentation of evidence by witnesses, including expert witnesses, or for oral argument, or to conduct proceedings only on the basis of documents and other materials.
(3) All documents or information to be supplied to an arbitrator shall be sent to the clerk for transmission to the arbitrator, save where documents or information are submitted during a hearing.
(4) All documents and information to be supplied to an arbitrator shall be sent to the clerk as follows-
(a) where a party submits documents or information during a hearing, one copy shall be sent to the clerk by that party immediately after the hearing; and
(b) in all other cases, a party shall supply 2 sets of all documents or information to the clerk, except where they have been sent to the clerk by facsimile or electronic mail transmission in accordance with section 33.
(5) The arbitrator may appoint any legally qualified person to advise him on any matter relating to the arbitration.
(6) Without prejudice to subsection (5), the arbitrator may seek advice from any representative of the HKIAC who is attending the proceedings in accordance with section 16 on any matter relating to the practice and procedure of an arbitration.

Section: 14 Heading: Notes of proceedings Version Date: 01/04/2003


(1) Notes of proceedings before an arbitrator may be taken by a person appointed as a note-taker by the arbitrator and any party is entitled to inspect and take copies of the transcript of such notes on payment of the note-taker's charges.
(2) If no note-taker is appointed, the arbitrator shall take a note of the proceedings and any party is entitled to inspect and take copies of such note.

Section: 15 Heading: Designation of date, time and place of arbitration Version Date: 01/04/2003


(1) The arbitrator shall designate a date, time and place in Hong Kong for the arbitration to take place.
(2) Notice of the date, time and place for the initial hearing shall be sent by the clerk to the parties, in accordance with section 33, at least 21 days prior to the date fixed for the hearing and notice for each hearing thereafter shall be given as the arbitrator may determine.
(3) The arbitrator may conduct hearings, hear witnesses and hold meetings for consultation at any place he considers appropriate, having regard to the circumstances of the arbitration.

Section: 16 Heading: Attendance of representative of HKIAC Version Date: 01/04/2003


A representative of the HKIAC may be present throughout the proceedings.


Section: 17 Heading: Statement of claim Version Date: 01/04/2003


(1) Unless a statement of claim was contained in or attached to the notice in writing requiring settlement of a dispute by arbitration, the claimant shall send his statement of claim to the respondent and to the arbitrator in accordance with sections 13(3) and (4) and 33, within 14 days from the date the arbitration is deemed to have commenced under section 5(6).
(2) A copy of the relevant client contract shall be annexed or otherwise attached to the statement of claim.
(3) The statement of claim shall include the following particulars-
(a) the names and addresses of the parties;
(b) a statement of the facts supporting the claim;
(c) the points at issue; and
(d) the remedy sought.
(4) The claimant may-
(a) annex or otherwise attach to the statement of claim all documents that the claimant considers relevant; or
(b) add a reference to the documents or other evidence that the claimant intends to submit.


Section: 18 Heading: Statement of defence or counterclaim Version Date: 01/04/2003


(1) The respondent shall send a statement of defence to the claimant and to the arbitrator in accordance with sections 13(3) and (4) and 33, within 14 days from the date on which the statement of claim is sent to the respondent.
(2) The statement of defence shall reply to the particulars of the statement of claim referred to in section 17(3)(b), (c) and (d).
(3) The respondent may-
(a) annex or otherwise attach to the statement of defence documents on which the respondent relies in defence; or
(b) add a reference to the documents or other evidence that the respondent intends to submit.
(4) In the statement of defence, or at a later stage in the arbitration proceedings if the arbitrator decides that the delay is justified under the circumstances, the respondent may-
(a) make a counterclaim arising out of the same dispute; or
(b) rely on a claim arising out of that dispute for the purpose of a set-off.
(5) Section 17 applies to a counterclaim and a claim relied on for the purpose of a set-off in the same manner as it applies to a statement of claim.

Section: 19 Heading: Amendments and further statements Version Date: 01/04/2003


(1) During the course of an arbitration, a party may amend or supplement that party's claim, defence or counterclaim except where the arbitrator considers it inappropriate to allow this, having regard to-
(a) any delay involved;
(b) the likelihood of prejudice to the other party; or
(c) any other relevant circumstances.
(2) The arbitrator may require or accept amendment to or supplement of a party's claim, defence or counterclaim, and shall fix the period for the sending of such amendment or supplement.


Section: 20 Heading: Time period for sending further statements Version Date: 01/04/2003


The period fixed by the arbitrator for the sending of any amendments or supplements under section 19, may not exceed 21 days from the date of such amendments or supplements, unless an extension is requested by a party and the arbitrator is satisfied that such an extension is justified in the circumstances.


Section: 21 Heading: Evidence Version Date: 01/04/2003


(1) Each party has the burden of proving the facts relied on to support that party's claim, defence or counterclaim.
(2) The arbitrator-
(a) shall determine the admissibility, materiality, relevance and weight of any evidence; and
(b) may admit evidence irrespective of the rules governing the admissibility of evidence in court if, in his opinion, the interest of justice is served by so doing.
(3) If the arbitrator considers it appropriate, he may require a party to send to him and to the other party, within a period stipulated by him, a summary of the documents and other evidence which that party intends to present in support of the facts in issue set out in that party's statement.

Section: 22 Heading: Hearing of witnesses Version Date: 01/04/2003


(1) If any witness is to be heard, each party shall send a notice to the arbitrator and to the other party at least 14 days before the hearing specifying-
(a) the name and address of the witness;
(b) the subject matter of the witness's testimony or, if the arbitrator so requires, a transcript of the witness's statement or expert report; and
(c) the language in which the witness will give his testimony.
(2) The arbitrator may arrange for translations or recordings to be made at a hearing as he considers appropriate.
(3) Hearings shall be held in public unless the arbitrator decides otherwise with the consent of the parties.
(4) The arbitrator may require the retirement of any witness during the testimony of any other witness.
(5) Evidence of a witness may also be presented in the form of a written statement signed by him.
(6) The arbitrator is free to determine the manner in which a witness is examined.


Section: 23 Heading: Default Version Date: 01/04/2003


(1) If, within the period fixed by the arbitrator, the claimant fails to file a statement of claim without showing sufficient cause for such failure, the arbitrator may make an order for the termination of the arbitration proceedings in accordance with section 27.
(2) If, within the period fixed by the arbitrator, the respondent fails to file a statement of defence without showing sufficient cause for such failure, the arbitrator may, as he thinks fit, make an order in favour of the claimant or make an order for the termination of the arbitration proceedings in accordance with section 27.
(3) If one of the parties, duly notified under these Rules, fails to appear at a hearing or fails to produce any document in that party's possession when required to do so, without valid excuse, the arbitrator may proceed with the arbitration and such proceedings are deemed to have been conducted in accordance with section 13(1).


Section: 24 Heading: Consolidation of proceedings Version Date: 01/04/2003


(1) Where in relation to 2 or more arbitration proceedings it appears to the chairman-
(a) that a common question of law or fact arises in both or all of them;
(b) that the claims arise out of the same transaction or series of transactions; or
(c) that it is desirable to make an order under this section for any other reason,
the chairman may-
(d) order those arbitration proceedings-
(i) to be consolidated on such terms as he thinks just; or
(ii) to be heard immediately after one another; or
(e) order any of those arbitration proceedings to be stayed until after the determination of any other of them.
(2) Subject to section 10, the chairman may select another arbitrator to conduct the arbitration proceedings consolidated under subsection (1)(d)(i).
(3) Where the chairman selects an arbitrator pursuant to subsection (2), any prior appointment of an arbitrator for any of the arbitration proceedings being consolidated ceases to have effect.


Section: 25 Heading: Jurisdiction Version Date: 01/04/2003


(1) The arbitrator has the power to rule on any objection by either party to his jurisdiction to hear the dispute.
(2) No objection to the arbitrator's jurisdiction may be raised after the sending of the statement of defence or, with respect to a counterclaim, after the sending of the reply to the counterclaim.
(3) The arbitrator may rule on an objection to his jurisdiction as a preliminary question or may proceed with the arbitration and rule on such an objection in his final award.
(4) Where applicable, an arbitration clause is treated as being independent of the other terms of a client contract and any decision made by the arbitrator or a court of law declaring that the client contract is void does not of itself invalidate the arbitration clause.

Section: 26 Heading: Settlement Version Date: 01/04/2003


PART 5

RULES RELATING TO TERMINATION OF ARBITRATION PROCEEDINGS

(1) If, before the award is made, the parties agree on a settlement of the dispute, the arbitrator shall record the settlement in the form of an arbitration award on agreed terms.
(2) The arbitrator is not obliged to give reasons for an award made under subsection (1).
(3) An award made under subsection (1) shall be signed by the arbitrator, sent to the parties and lodged with the clerk for filing.
(4) An award made under subsection (1) is final and binding on the parties.

Section: 27 Heading: Termination of proceedings Version Date: 01/04/2003


(1) If, before the award is made, the continuation of the arbitration proceedings becomes unnecessary or impossible for any reason other than by way of an agreement to settle between the parties, the arbitrator may, either on his own initiative or at the request of a party, make an order for the termination of the arbitration proceedings.
(2) The arbitrator shall state in the order the reasons for the termination.
(3) An order made under subsection (1) shall be signed by the arbitrator, sent to the parties and lodged with the clerk for filing.
(4) An order made under subsection (1) is final and binding on the parties.


Section: 28 Heading: Form and effect of awards Version Date: 01/04/2003


(1) An award shall-
(a) give reasons for the decision;
(b) be signed by the arbitrator; and
(c) contain the date on which and the place where it was made.
(2) In addition to making a final award, the arbitrator has the power to make interim, interlocutory or partial awards during the course of an arbitration.
(3) An award made by the arbitrator under this section shall be sent to the parties and lodged with the clerk for filing.
(4) An award made by the arbitrator shall be made public but, where the arbitrator considers it appropriate to do so, this may be done in a manner that preserves the anonymity of the parties.
(5) Despite subsection (4), the Commission-
(a) shall be notified by the clerk of any award made in respect of a licensed corporation; and
(b) may make use of any findings made by an arbitrator for the purposes of performing its functions under the Ordinance including, but without limitation, assessing whether the licensed corporation is a fit and proper person to be so licensed.
(6) An award made by the arbitrator is final and binding on the parties.


Section: 29 Heading: Correction of awards Version Date: 01/04/2003


(1) Within 14 days after the receipt of the award, either party may, with notice to the other party, request the arbitrator to correct in the award any errors in computation, any clerical or typographical errors or any errors of a similar nature.
(2) If the arbitrator considers the request made under subsection (1) to be justified, he shall make the correction within 14 days after the receipt of the request.
(3) The arbitrator may, on his own initiative, correct any error of the type referred to in subsection (1) within 28 days after the date of the award.
(4) Section 28 applies in relation to such corrections.


Section: 30 Heading: Additional awards Version Date: 01/04/2003


(1) Within 14 days after the receipt of an award, either party may, with notice to the other party, request the arbitrator to make an additional award as to claims presented during the course of the arbitration but omitted from the award.
(2) If the arbitrator considers the request for an additional award to be justified and considers that the omission can be rectified without any further evidence, he may make the additional award within 14 days after the receipt of the request.
(3) Section 28 applies in relation to such additional award.


Section: 31 Heading: Costs Version Date: 01/04/2003


(1) The arbitrator shall make an order for costs whenever he makes an arbitration award, including an award on agreed terms, and an order for the termination of the arbitration proceedings.
(2) Subject to subsection (3), the costs of an arbitration are to be borne by the unsuccessful party.
(3) The arbitrator may apportion costs between the parties if he considers that apportionment is reasonable in the circumstances.
(4) The order for costs shall specify-
(a) the sum to be paid, which shall include-
(i) the amount of fees of the arbitrator;
(ii) costs for legal advice or for other assistance such as translation, oral interpretation and note-taking required by the arbitrator;
(iii) travel and other expenses of witnesses to the extent allowed by the arbitrator;
(iv) costs of the successful party, including the costs for legal representation, to the extent allowed by the arbitrator; and
(v) the amount of administrative or other costs incurred by the arbitrator and the arbitration panel;
(b) the parties to and by whom payment shall be made; and
(c) the time limit for making payment.
(5) A party against whom such an order is made shall make payment in accordance with the order.


Section: 32 Heading: Deposits of costs Version Date: 01/04/2003


(1) At any time during the arbitration proceedings, the arbitrator may require any party to deposit with the clerk such sum or sums to defray the expenses of the arbitration if the arbitrator considers it expedient to do so in the circumstances.
(2) In determining the amount of any deposit, the arbitrator shall take into account the amount in dispute, the complexity of the subject matter, the costs incurred or to be incurred by the arbitrator, and other relevant circumstances of the case.
(3) If payment of the required deposit is not made by the relevant party within 14 days after the receipt of the requirement, the arbitrator may make an order for the termination of the arbitration proceedings in accordance with section 27.
(4) After the termination of proceedings, with the assistance of the arbitrator, the clerk-
(a) shall render an account to the parties of the total deposits received under these Rules; and
(b) after all the costs required to be borne by a party have been paid, shall return any unexpended balance of the party's portion of the deposits to that party.



Section: 33 Heading: Communication and notice period Version Date: 01/04/2003


PART 6

MISCELLANEOUS


(1) Any challenge, notice, order, award, or other document (however described) sent or lodged (however described) to or with a party or the clerk under these Rules may be sent or lodged in accordance with the provisions of section 400 of the Ordinance.
(2) For the purposes of calculating a period of time under these Rules-
(a) the period begins to run on the day following the day when the document is sent or lodged;
(b) if the last day of the period is a public holiday or a day on which banks are not generally open for business, the period is extended until the first business day that follows; and
(c) public holidays or days on which banks are not generally open for business occurring during the running of the period of time are included in calculating the period.


Section: 34 Heading: Interest Version Date: 01/04/2003


The arbitrator may order the payment of interest on any damages or costs, including the payment of compound interest if appropriate in the circumstances.


Section: 35 Heading: Exclusion of liability Version Date: 01/04/2003


None of the following persons is liable to any party for any act or omission in connection with any arbitration conducted under these Rules unless he is found to have been fraudulent or dishonest-
(a) the chairman;
(b) the deputy chairman;
(c) a member;
(d ) the arbitrator;
(e) the clerk;
(f) a representative of the HKIAC who attends arbitration proceedings in accordance with section 16.


Section: 36 Heading: Destruction of documents Version Date: 01/04/2003


The clerk and the arbitrator may destroy any document relating to an arbitration sent to them under these Rules after the expiry of a period of one year after the later of the following-
(a) the last correspondence relating to the arbitration received by the clerk;
(b) the making of an arbitration award by the arbitrator;
(c) the making of an order for the termination of the arbitration proceedings.

(1) The arbitrator may in his discretion determine that certain information relating to the arbitration is to be kept confidential.
(2) Subject to section 28(5), such confidential information may not be disclosed by any person without the written consent of the arbitrator.

(1) Hong Kong law applies to the arbitration proceedings.
(2) The arbitrator shall take into account the trade practice applicable to the transaction.
(3) Pursuant to section 2AB of the Arbitration Ordinance (Cap 341), the provisions of that Ordinance apply to an arbitration conducted under these Rules, save for those matters that have been specifically provided for in these Rules.

(1) The arbitrator, or if the arbitration proceedings have not been commenced, the chairman, may modify the requirements of these Rules in relation to the sending of documents or the length of time periods in particular cases where, in his opinion, it is expedient to do so in the interest of justice.
(2) A party who knows or reasonably ought to know that any provision of, or requirement under, these Rules has not been complied with and yet proceeds with the arbitration without promptly stating his objection to such non-compliance is deemed to have waived his right to object.

“仲裁小组”(arbitration panel) 指第4条设立的仲裁小组;

(1) 为按照本规则解决争议,现设立一个名为仲裁小组的小组。
(2) 仲裁小组由财政司司长所委任的主席、副主席及其他成员组成。
(3) 证监会的董事及雇员并无资格获委任为成员。
(4) 财政司司长可决定成员的任期,但成员可随时向财政司司长送交书面通知而辞职。
(5) 如主席职位悬空,或主席因疾病、其他丧失履行职务能力情况或不在香港而不能履行主席的职务,则副主席须署理主席职位;如副主席不能署理主席职位,则须由财政司司长指定另一名成员署理主席职位。
(6) 仲裁小组须设有一名书记,该书记须由证监会委任。
(7) 书记须拟备和备存一份成员名单,该名单须在所有合理时间免费供公众查阅。

第2部

关于展开仲裁程序的规则

(1) 除第(3)款另有规定外,任何客户可向与他有争议的持牌法团送交由他或由他人代他签署的书面通知,要求按照本规则以仲裁方式解决该争议。
(2) 如客户没有根据第(1)款送交书面通知─
(a) 持牌法团可向与它有争议的该客户送交由它或由他人代它签署的书面通知(当中载有第(7)(b)、(d)及(e)款描述的详情),指出该客户有权要求按照本规则以仲裁方式解决该争议;及
(b) 该客户可在接获(a)段所指的书面通知后的14日内,向该持牌法团送交由他或由他人代他签署的书面通知,要求按照本规则以仲裁方式解决该争议。
(3) 如持牌法团已根据第(2)(a)款向客户送交书面通知,而该客户没有在第(2)(b)款指明的限期内,根据第(2)(b)款向该持牌法团送交书面通知,则该客户无权要求按照本规则以仲裁方式解决争议。
(4) 除第(5)款另有规定外,尽管已有法院程序就某争议展开,有关客户仍可在法院程序展开后的14日内,向有关持牌法团送交由他或由他人代他签署的书面通知,要求以仲裁方式解决该争议。
(5) 如持牌法团已根据第(2)(a)款向客户送交书面通知,而该客户没有在第(2)(b)款指明的限期内,根据第(2)(b)款向该持牌法团送交书面通知,则第(4)款不适用于有关争议。
(6) 仲裁程序当作于持牌法团按照第33条获送交第(1)或(4)款所指或(如适用的话)第(2)(b)款所指的书面通知之日展开。
(7) 根据第(1)或(4)款送交的书面通知须载有─
(a) 将有关争议提交仲裁的要求;
(b) 各当事一方的姓名或名称及地址;
(c) (如适用的话)对客户所倚据的仲裁条款的提述;
(d) 对客户合约的提述;及
(e) 该争议的简短摘要、所寻求的补救及所涉及款额的说明。
(8) 任何由法人团体或合伙根据本条送交的书面通知,须由其一名董事或合伙人(视属何情况而定)代它填具和签署。
(9) 根据本条送交书面通知的当事一方须在合理地切实可行的范围内,尽快将该通知的副本送交书记存档。
(10) 在根据本规则进行仲裁期间,任何当事一方不得就已根据本规则提交仲裁的争议而针对对方当事一方提起任何诉讼、法律行动或法律程序。

(1) 当事一方将第5(1)、(2)(a)或(4)条所指的书面通知的副本送交书记存档时,须向书记缴存按金$1000。
(2) 凡持牌法团已根据第5(2)(a)条向任何客户送交书面通知,而该客户没有在第5(2)(b)条指明的限期内,根据第5(2)(b)条向该持牌法团送交书面通知,则书记须在合理地切实可行的范围内,尽快将该持牌法团缴存的按金在扣除仲裁小组合理地招致的费用后,安排退回该持牌法团。

仲裁人

(b) 书记已按照第6(1)条收到按金。
(2) 各当事一方须提供主席为协助他就他们的仲裁遴选仲裁人而要求的资料。
(3) 主席在根据本规则遴选仲裁人时,有绝对酌情决定权。
(4) 主席须在合理地切实可行的范围内,尽快将就当事双方的仲裁遴选的仲裁人所作的决定通知各当事一方。

(1) 如有令人对某仲裁人的公正性或独立性产生有根据的怀疑的情况,当事一方可反对委任该仲裁人。

(4) 如对方当事一方不赞同该项反对,或该项反对所针对的仲裁人不弃任,则主席须就该项反对作出决定。
(5) 如主席决定反对得直,第9条就遴选新的仲裁人的目的而适用。

关于仲裁程序的规则

(1) 尽管本规则有其他规定,仲裁人─
(a) 可采用他认为适当的方式进行仲裁,并有权在可能的情况下采纳简化或便捷的程序进行仲裁,以确保有关争议获得公平、便捷及费用低廉的最终裁定;及
(b) 须确保各当事一方均获得平等对待,并确保在仲裁程序的任何阶段中,每一当事一方均获得充分机会提出其论据。
(2) 仲裁人在获得各当事一方的同意下,可决定召开聆讯以便进行口头辩论或让证人(包括专家证人)提出证据,或只根据文件及其他材料进行仲裁程序。
(3) 除在聆讯时所提交的文件或资料外,所有向仲裁人提供的文件或资料须送交书记以转交仲裁人。
(4) 所有向仲裁人提供的文件及资料均须以下列方式送交书记─
(a) 凡当事一方在聆讯时提交文件或资料,该方须在聆讯后立即将一份副本送交书记;及
(b) 在所有其他情况下,当事一方须将所有文件或资料一式两份提供予书记,但如该等文件或资料已按照第33条以传真或电子邮递传送方式送交书记,则属例外。
(5) 仲裁人可委任具备法律专业资格的人士就任何关于仲裁的事宜向他提供意见。
(6) 在不损害第(5)款的原则下,仲裁人可就任何关于仲裁的实务和程序的事宜,征询按照第16条出席仲裁程序的仲裁中心代表的意见。

(a) 将申索人认为有关的所有文件以附件形式或以其他方式随附于申索陈述书;或
(b) 加入对申索人拟提交的文件或其他证据的提述。

(3) 答辩人可─
(a) 将其据以答辩的文件以附件形式或以其他方式随附于答辩陈述书;或
(b) 加入对答辩人拟提交的文件或其他证据的提述。
(4) 答辩人可在答辩陈述书内,或(如仲裁人决定在有关情况下答辩人延迟行事是有充分理由的)在仲裁程序的较后阶段─
(a) 提出源于同一争议的反申索;或
(b) 倚据源于该争议的申索作为抵销。
(5) 第17条适用于反申索及被倚据作为抵销的申索,方式与该条适用于申索陈述书相同。

(c) 任何其他有关的情况。
(2) 仲裁人可要求或接受当事一方对其申索、答辩或反申索作出修订或补充,并须指定送交该等修订或补充的限期。

(3) 如其中当事一方已根据本规则妥为获得通知,但没有出席聆讯或没有应要求交出任何该方所管有的文件,亦没有就此提出合理辩解,则仲裁人可继续进行仲裁程序,而该等程序即当作已按照第13(1)条进行。

(3) 凡主席依据第(2)款遴选仲裁人,则在之前为任何被合并的仲裁程序作出的仲裁人的委任即告失效。

关于终止仲裁程序的规则

(1) 如在裁决作出前,各当事一方就争议达成和解,则仲裁人须以按协定条款作出仲裁裁决的形式,记录此项和解。

(3) 根据第(1)款作出的裁决须由仲裁人签署,并须送交各当事一方和提交书记存档。
(4) 根据第(1)款作出的裁决属最终的裁决,对各当事一方均有约束力。

(v) 仲裁人及仲裁小组所招致的行政或其他费用的款额;
(b) 收款及付款的各当事一方;及
(c) 付款期限。
(5) 关于仲裁费用的命令所针对的当事一方须按照命令付款。

In these Rules, unless the context otherwise requires-
"agreement in writing" (书面协议) means a term in a client contract that is in writing;
"approved custodian" (核准保管人) means a company or non-Hong Kong company approved by the Commission under section 11 as being suitable for the safe custody of client securities and securities collateral of an intermediary; (30 of 2004 s. 3)
"asset management" (资产管理) has the meaning assigned to it by Part 2 of Schedule 5 to the Ordinance;
"client contract" (客户合约) means any contract or arrangement between an intermediary and its client, which contains terms on which the intermediary is to provide services the provision of which constitutes a regulated activity;
"dealing in futures contracts" (期货合约交易) has the meaning assigned to it by Part 2 of Schedule 5 to the Ordinance;
"dealing in securities" (证券交易) has the meaning assigned to it by Part 2 of Schedule 5 to the Ordinance;
"linked corporation" (相连法团), in relation to an associated entity of an intermediary, means a corporation-
(a) of which the associated entity is a controlling entity;
(b) which is a controlling entity of the associated entity; or
(c) which has as its controlling entity a person which is also a controlling entity of the associated entity;
"standing authority" (常设授权) has the meaning assigned to it by section 4(1);
"unconscionable" (不合情理), in relation to a standing authority, means unconscionable having regard to the factors specified in section 6 of the Unconscionable Contracts Ordinance (Cap 458), as if the standing authority in question were a contract under that Ordinance.

(1) Subject to subsection (2), these Rules apply to client securities and securities collateral of an intermediary that are-
(a) either-
(i) listed or traded on a recognized stock market; or
(ii) interests in a collective investment scheme authorized by the Commission under section 104 of the Ordinance; and
(b) received or held in Hong Kong by or on behalf of-
(i) the intermediary in the course of the conduct of any regulated activity for which the intermediary is licensed or registered; or
(ii) an associated entity of the intermediary in relation to the conduct of such regulated activity.
(2) These Rules do not apply to client securities of an intermediary that are in an account established and maintained by a client of the intermediary, in that client's name, with a person other than the intermediary or an associated entity of the intermediary.


Section: 4 Heading: Requirements in respect of a client's standing authority Version Date: 01/04/2003



(1) For the purposes of section 6(1)(c), 7(2) or (3), 8(2) or 9(2), a standing authority is a written notice that-
(a) is given to an intermediary or an associated entity of an intermediary by a client of the intermediary;
(b) authorizes the intermediary or associated entity to deal with client securities or securities collateral from time to time received or held on behalf of the client, in one or more specified ways;
(c) subject to subsection (2), specifies a period not exceeding 12 months during which it is valid; and
(d) specifies the manner in which it may be revoked.
(2) Subsection (1)(c) shall not apply to a standing authority which is given to an intermediary or an associated entity of an intermediary by a client of the intermediary who is a professional investor.
(3) A standing authority which is not revoked prior to its expiry-
(a) may be renewed for one or more further periods-
(i) not exceeding 12 months, if the client of the intermediary who gave it is not a professional investor; or
(ii) of any duration, if the client of the intermediary who gave it is a professional investor,
at any one time, with the written consent of the client of the intermediary who gave it; or
(b) shall be deemed to have been renewed if-
(i) at least 14 days prior to the expiry of the standing authority, the intermediary or associated entity to which it was given, gives a written notice to the client of the intermediary who gave the standing authority, reminding the client of its impending expiry and informing the client that unless the client objects, it will be renewed upon expiry upon the same terms and conditions as specified in the standing authority and for-
(A) an equivalent period to that stated in the standing authority;
(B) any period not exceeding 12 months specified by the intermediary or associated entity, if the client of the intermediary is not a professional investor; or
(C) a period of any duration specified by the intermediary or associated entity, if the client of the intermediary is a professional investor; and
(ii) the client does not object to the renewal of the standing authority before its expiry.
(4) Where a standing authority is deemed to have been renewed in accordance with subsection (3)(b), the intermediary or associated entity (as the case may be) shall give a written confirmation of the renewal of the standing authority to the client of the intermediary within one week after the date of expiry.

PART 2

TREATMENT OF CLIENT SECURITIES AND SECURITIES COLLATERAL

Division 1-General rules

(1) Subject to section 6, an intermediary or an associated entity of an intermediary which receives any client securities of the intermediary shall ensure that, as soon as reasonably practicable, the client securities are-
(a) deposited in safe custody in a segregated account which is designated as a trust account or client account and established and maintained in Hong Kong by the intermediary or associated entity for the purpose of holding client securities of the intermediary with-
(i) an authorized financial institution;
(ii) an approved custodian; or
(iii) another intermediary licensed for dealing in securities; or
(b) registered in the name of-
(i) the client on whose behalf the client securities have been received; or
(ii) the associated entity.
(2) Subject to section 6, an intermediary or an associated entity of an intermediary which receives any securities collateral of the intermediary shall ensure that, as soon as reasonably practicable, the securities collateral is-
(a) deposited in safe custody in a segregated account which is designated as a trust account or client account and established and maintained in Hong Kong by the intermediary or associated entity for the purpose of holding securities collateral of the intermediary with-
(i) an authorized financial institution;
(ii) an approved custodian; or
(iii) another intermediary licensed for dealing in securities;
(b) deposited in an account in the name of the intermediary or associated entity (as the case may be) with-
(i) an authorized financial institution;
(ii) an approved custodian; or
(iii) another intermediary licensed for dealing in securities; or
(c) registered in the name of-
(i) the client on whose behalf the securities collateral has been received;
(ii) the intermediary; or
(iii) the associated entity.


Section: 6 Heading: Dealings with client securities and securities collateral Version Date: 01/04/2003



(1) An intermediary or an associated entity of an intermediary may deal with client securities or securities collateral of the intermediary that it receives or holds in accordance with-
(a) an oral or written direction-
(i) to sell the client securities or securities collateral; or
(ii) to settle such a sale order;
(b) a written direction to withdraw the client securities or securities collateral from an account referred to in section 5(1)(a) or (2)(a) or (b) or to deal with client securities or securities collateral that have been registered in accordance with section 5(1)(b) or (2)(c); or
(c) a standing authority, except where this would-
(i) subject to subsection (2) or section 7, 8 or 9, result in a transfer of the client securities or securities collateral to an account in Hong Kong of-
(A) the intermediary;
(B) the associated entity; or
(C) any corporation with which the intermediary is in a controlling entity relationship or in relation to which the associated entity is a linked corporation,
other than an account referred to in section 5(1)(a) or (2)(a) or (b), or otherwise result in a person referred to in sub-subparagraph (A), (B) or (C) having the benefit or use of the client securities or securities collateral;
(ii) result in a transfer of the client securities or securities collateral to any officer or employee of-
(A) the intermediary;
(B) the associated entity; or
(C) any corporation with which the intermediary is in a controlling entity relationship or in relation to which the associated entity is a linked corporation,
unless that officer or employee is the client in question; or
(iii) be unconscionable.
(2) Without prejudice to subsection (1)(a), with an agreement in writing with the client on whose behalf client securities have been received or are held, an intermediary licensed or registered for asset management may withdraw any of the client securities from an account referred to in section 5(1)(a) or deal with client securities that have been registered in accordance with section 5(1)(b)-
(a) to sell them; or
(b) to settle a sale order,
on behalf of the client.
(3) Without prejudice to subsections (1) and (2), with an agreement in writing with the client on whose behalf client securities or securities collateral have been received or are held, an intermediary may-
(a) dispose; or
(b) initiate a disposal by an associated entity of the intermediary,
of any of the client securities or securities collateral in settlement of any liability owed by or on behalf of the client to-
(c) the intermediary;
(d) the associated entity; or
(e) a third person.
(4) In subsection (1), a direction is a direction from a client that-
(a) relates to specified client securities or securities collateral;
(b) is given to the intermediary or associated entity in question by the client of the intermediary on whose behalf the client securities or securities collateral were received or are being held;
(c) directs the intermediary or associated entity to deal with the client securities or securities collateral in a particular manner; and
(d) ceases to have effect after the client securities or securities collateral to which it relates have been dealt with by the intermediary or associated entity in the manner directed.


Section: 7 Heading: Treatment of client securities and securities collateral by intermediaries licensed or registered for dealing in securities and their associated entities Version Date: 01/10/2006



Division 2-Particular rules

(1) This section applies to-
(a) an intermediary licensed or registered for dealing in securities; and
(b) an associated entity of such intermediary.
(2) With a standing authority, an intermediary or an associated entity to which this section applies may-
(a) apply any of the client securities or securities collateral in question pursuant to a securities borrowing and lending agreement;
(b) subject to section 8A, deposit any of the securities collateral in question with an authorized financial institution as collateral for financial accommodation provided to the intermediary; or (L.N. 118 of 2006)
(c) deposit any of the securities collateral in question with-
(i) a recognized clearing house; or
(ii) another intermediary licensed or registered for dealing in securities,
as collateral for the discharge and satisfaction of the intermediary's settlement obligations and liabilities.
(3) Where an intermediary to which this section applies-
(a) provides financial accommodation to a client of the intermediary in the course of dealing in securities; and
(b) also provides financial accommodation to the client in the course of any other regulated activity for which the intermediary is licensed or registered,
the intermediary or an associated entity of the intermediary may apply or deposit any of the securities collateral in question in accordance with subsection (2) with a standing authority.

Section: 8 Heading: Treatment of securities collateral by intermediaries licensed for securities margin financing and their associated entities Version Date: 01/10/2006



(1) This section applies to-
(a) an intermediary licensed for securities margin financing; and
(b) an associated entity of such intermediary.
(2) With a standing authority, an intermediary or an associated entity to which this section applies may, subject to section 8A, deposit any of the securities collateral in question with- (L.N. 118 of 2006)
(a) an authorized financial institution; or
(b) an intermediary licensed for dealing in securities,
as collateral for financial accommodation provided to the intermediary.


Section: 8A Heading: Repledging Limit Version Date: 01/10/2006


(1) This section applies to─
(a) an intermediary licensed for dealing in securities; and
(b) an intermediary licensed for securities margin financing,
where the intermediary or an associated entity of such intermediary repledges securities collateral of the intermediary.
(2) On each business day, the intermediary to which this section applies shall ascertain the aggregate market value of the repledged securities collateral, which shall be calculated by reference to the respective closing prices of the collateral on that business day.
(3) If the aggregate market value of the repledged securities collateral calculated pursuant to subsection (2) exceeds 140% of the intermediary’s aggregate margin loans on the same business day (“relevant day”), the intermediary shall by the close of business on the next business day following the relevant day (“specified time”) withdraw, or cause to be withdrawn, from deposit an amount of repledged securities collateral such that the aggregate market value of the repledged securities collateral at the specified time, which is calculated by reference to the respective closing prices on the relevant day, does not exceed 140% of the intermediary’s aggregate margin loans as at the close of business on the relevant day.
(4) In this section─
“aggregate margin loans” (保证金贷款总额), in relation to an intermediary, means the sum of margin loans owed to the intermediary by its margin clients as at the close of business on the relevant business day;
“business day” (营业日) means a day other than─
(a) a Saturday;
(b) a public holiday; and
(c) a gale warning day or black rainstorm warning day as defined in section 71(2) of the Interpretation and General Clauses Ordinance (Cap 1);
“margin client” (保证金客户) has the meaning assigned to it by section 2(1) of the Securities and Futures (Financial Resources) Rules (Cap 571 sub. leg. N);
“margin loan” (保证金贷款), in relation to a margin client of an intermediary, means the net amount owed to the intermediary by the margin client arising from the provision of securities margin financing by the intermediary to the margin client, excluding any amount added to or deducted from such net amount in respect of dealing in securities by or for the margin client which are not yet due for settlement according to the settlement date;
“repledge” (再质押), in relation to an intermediary or an associated entity of an intermediary, means an act by which the intermediary or the associated entity deposits securities collateral of the intermediary as collateral for financial accommodation provided to the intermediary;
“repledged securities collateral” (被再质押的证券抵押品) means any securities collateral which is on deposit as collateral for financial accommodation provided to an intermediary, whether repledged by the intermediary or an associated entity of such intermediary;
“settlement date” (交收日期) means the date on which payment for any dealing in securities is first due as agreed between the parties to the transaction.
(5) In subsection (4), “securities margin financing” (证券保证金融资) has the meaning assigned to it by section 2(1) of the Securities and Futures (Financial Resources) Rules (Cap 571 sub. leg. N).

MISCELLANEOUS

(1) An intermediary or an associated entity of an intermediary must take reasonable steps to ensure that client securities and securities collateral of the intermediary are not-
(a) deposited;
(b) transferred;
(c) lent;
(d) pledged;
(e) repledged; or
(f) otherwise dealt with,
except as provided in Part 2.
(2) Subsection (1) does not require the intermediary or associated entity in question to ensure that the client securities or securities collateral in question are not-
(a) deposited;
(b) transferred;
(c) lent;
(d) pledged;
(e) repledged; or
(f) otherwise dealt with,
by a person to whom the intermediary or associated entity has lent or with whom the intermediary or associated entity has deposited any of the client securities or securities collateral in accordance with Part 2.

The Commission may approve, by notice in writing and subject to such conditions as the Commission considers appropriate, any company or non-Hong Kong company as being suitable for the safe custody of client securities and securities collateral of an intermediary.

If an intermediary or an associated entity of an intermediary to which section 4(4), 5 or 10(1) applies becomes aware that it does not comply with such section, it shall give written notice of that fact to the Commission within one business day thereafter.

(1) An intermediary, or an associated entity of an intermediary, which, without reasonable excuse, contravenes section 4(4) or 12 commits an offence and is liable on conviction to a fine at level 3.
(2) An intermediary, or an associated entity of an intermediary, which, with intent to defraud, contravenes section 4(4) or 12 commits an offence and is liable on conviction to a fine at level 6.
(3) An intermediary, or an associated entity of an intermediary, which, without reasonable excuse, contravenes section 5 or 10(1) commits an offence and is liable-
(a) on conviction on indictment to a fine of $200000 and to imprisonment for 2 years; or
(b) on summary conviction to a fine at level 6 and to imprisonment for 6 months.
(4) An intermediary, or an associated entity of an intermediary, which, with intent to defraud, contravenes section 5 or 10(1) commits an offence and is liable-
(a) on conviction on indictment to a fine of $1000000 and to imprisonment for 7 years; or
(b) on summary conviction to a fine of $500000 and to imprisonment for 1 year.
(5) In deciding whether or not any dealing with client securities or securities collateral under section 6(1)(c) is unconscionable, the court shall have regard to the factors specified in section 6 of the Unconscionable Contracts Ordinance (Cap 458) as if the standing authority in question were a contract under that Ordinance.

In relation to─
(a) an intermediary which is licensed immediately prior to 1 October 2006 for dealing in securities; or

在本规则中,除文意另有所指外─
“不合情理”(unconscionable) 就常设授权而言,指在考虑《不合情理合约条例》(第458章)第6条指明的因素后属不合情理,犹如有关的常设授权属该条例所指的合约一样;
“客户合约”(client contract) 指中介人与其客户订立的任何合约或安排,该合约或安排载有该中介人提供服务所根据的条款,而该等服务的提供构成受规管活动;
“相连法团”(linked corporation) 就中介人的有联系实体而言,指符合以下说明的法团─
(a) 该有联系实体属该法团的控权实体;
(b) 该法团属该有联系实体的控权实体;或

(ii) (如给予该授权的该中介人的客户属专业投资者)时间长短不限,
但续期须获给予该授权的中介人的客户的书面同意;或
(b) 须在下述情况下当作已续期─
(i) 在该授权的有效期届满前的14日之前,获给予该授权的中介人或有联系实体向给予该授权的中介人的客户发出书面通知,提醒该客户该授权的有效期即将届满,并通知该客户除非他提出反对,否则该授权会在届满时按该授权指明的相同条款及条件续期,而续期期间为─
(A) 该授权述明的相等期间;
(B) (如该中介人的客户并非专业投资者)任何由该中介人或有联系实体指明的不超过12个月的期间;或
(C) (如该中介人的客户属专业投资者)由该中介人或有联系实体指明的任何期限的期间;及
(ii) 该客户没有在该授权届满前反对该授权续期。
(4) 凡常设授权按照第(3)(b)款当作已续期,有关中介人或有联系实体(视属何情况而定)须在该授权届满日期后的1星期内,将该授权续期的确认书给予该中介人的有关客户。

第2部

对待客户证券及证券抵押品

第1分部─一般规则

(1) 除第6条另有规定外,中介人或中介人的有联系实体在收取该中介人的任何客户证券后,须在合理切实可行范围内尽快确保该等客户证券─
(a) 存放于在─
(i) 认可财务机构;
(ii) 核准保管人;或
(iii) 另一获发牌进行证券交易的中介人,
开立的独立帐户作稳妥保管,而该帐户是指定为信托帐户或客户帐户并由该中介人或有联系实体为持有该中介人的客户证券目的而在香港开立及维持的;或
(b) 以下列人士的名称登记─
(i) (在该等客户证券是代客户收取的情况下)有关客户;或
(ii) 该有联系实体。
(2) 除第6条另有规定外,中介人或中介人的有联系实体在收取该中介人的任何证券抵押品后,须在合理切实可行范围内尽快确保该等抵押品─
(a) 存放于在─
(i) 认可财务机构;
(ii) 核准保管人;或
(iii) 另一获发牌进行证券交易的中介人,
开立的独立帐户作稳妥保管,而该帐户是指定为信托帐户或客户帐户并由该中介人或有联系实体为持有该中介人的证券抵押品目的而在香港开立及维持的;

(ii) 按照该项授权行事会引致该等客户证券或证券抵押品转移至─
(A) 该中介人;
(B) 该有联系实体;或
(C) 和该中介人有控权实体关系或以该有联系实体为相连法团的法团,
的任何高级人员或雇员,除非该高级人员或雇员是有关客户;或
(iii) 按照该项授权行事即会属不合情理。
(2) 凡有关的客户证券是代某客户收取或持有的,在不损害第(1)(a)款的原则下,获发牌或获注册作资产管理的中介人如获该客户的书面协议,可从第5(1)(a)条提述的帐户提取任何该等客户证券或处理已根据第5(1)(b)条登记的客户证券,以代该客户─
(a) 将之出售;或
(b) 就出售指令进行交收。
(3) 凡有关的客户证券或证券抵押品是代某客户收取或持有的,在不损害第(1)及(2)款的原则下,中介人如获该客户的书面协议,可─
(a) 处置;或
(b) 促使该中介人的有联系实体处置,
任何该等客户证券或证券抵押品,以解除由该客户或代该客户对以下人士所负的法律责任─
(c) 该中介人;
(d) 该有联系实体;或
(e) 第三者。
(4) 在第(1)款中,指示指由客户给予并符合以下说明的指示─
(a) 关乎指明客户证券或证券抵押品;
(b) 由该中介人的客户给予有关中介人或有联系实体的,且该等客户证券或证券抵押品是代该客户收取或持有的;
(c) 指示该中介人或有联系实体以特定方式处理该等客户证券或证券抵押品;及
(d) 该指示在它关乎的客户证券或证券抵押品已由该中介人或有联系实体按所指示的方式处理后失效。

第2分部─特别规则

(1) 本条适用于─

(a) 在进行证券交易的过程中,向其客户提供财务通融;及

则该中介人或该中介人的有联系实体如获常设授权,可按照第(2)款运用或存放任何有关证券抵押品。

(3) 如依据第(2)款计算的被再质押的证券抵押品的总市值,超逾有关中介人在同一营业日(“有关日期”)的保证金贷款总额的140%,该中介人便须在有关日期后的下一个营业日营业时间结束(“指明时间”)前,从被存放的被再质押的证券抵押品中,提取或安排提取某个数额的被再质押的证券抵押品,使在指明时间的被再质押的证券抵押品的总市值(藉参照分别在有关日期录得的收市价而计算)不超逾该中介人在有关日期营业时间结束时的保证金贷款总额的140%。
(4) 在本条中─
“交收日期”(settlement date) 指交易各方所议定的最先到期须就证券交易付款之日;
“再质押”(repledge) 就某中介人或某中介人的有联系实体而言,指该中介人或该有联系实体藉以存放该中介人的证券抵押品以作为提供予该中介人的财务通融的抵押品的作为;
“保证金客户”(margin client) 具有《证券及期货(财政资源)规则》(第571章,附属法例N)第2(1)条给予该词的涵义;
“保证金贷款”(margin loan) 就中介人的保证金客户而言,指因该中介人向该保证金客户提供证券保证金融资而导致该客户欠该中介人的净款额,并不包括因该保证金客户所进行或代该客户进行的证券交易而产生但按交收日期仍未到期交收的任何加于该净款额或自该净款额扣除的数额;
“保证金贷款总额”(aggregate margin loans) 就中介人而言,指该中介人的保证金客户在有关营业日营业时间结束时欠该中介人的保证金贷款总额;
“被再质押的证券抵押品”(repledged securities collateral) 指被存放以作为提供予某中介人的财务通融的抵押品的任何证券抵押品,不论是由该中介人或该中介人的有联系实体再质押的;
“营业日”(business day) 指不属以下任何日子的日子─
(a) 星期六;
(b) 公众假日;及
(c) 《释义及通则条例》(第1章)第71(2)条界定的烈风警告日或黑色暴雨警告日。
(5) 在第(4)款中,“证券保证金融资”(securities margin financing) 具有《证券及期货(财政资源)规则》(第571章,附属法例N)第2(1)条给予该词的涵义。

(b) 转让;

In these Rules, unless the context otherwise requires-
"linked corporation" (相连法团), in relation to an associated entity of a licensed corporation, means a corporation-
(a) of which the associated entity is a controlling entity;
(b) which is a controlling entity of the associated entity; or
(c) which has as its controlling entity a person which is also a controlling entity of the associated entity;
"segregated account" (独立帐户) means a segregated account established and maintained under section 4(1) and (2);
"standing authority" (常设授权) has the meaning assigned to it by section 8(1);
"unconscionable" (不合情理), in relation to a standing authority, means unconscionable having regard to the factors specified in section 6 of the Unconscionable Contracts Ordinance (Cap 458), as if the standing authority in question were a contract under that Ordinance;
"written direction" (书面指示) has the meaning assigned to it by section 7.

(1) Subject to subsections (2) and (3), these Rules apply to client money of a licensed corporation that is received or held by or on behalf of-
(a) the licensed corporation, in the course of the conduct of any regulated activity for which the licensed corporation is licensed; or
(b) an associated entity of the licensed corporation, in relation to such conduct of the regulated activity.
(2) These Rules do not apply to client money of a licensed corporation that-
(a) is received or held outside Hong Kong by the licensed corporation or an associated entity of the licensed corporation, while that client money remains outside Hong Kong; or
(b) has at any time been received or held in Hong Kong by the licensed corporation or an associated entity of the licensed corporation, once that client money is transferred outside Hong Kong in accordance with these Rules.
(3) These Rules do not apply to client money of a licensed corporation that is in a bank account established and maintained by a client of the licensed corporation in that client's name.


Section: 4 Heading: Payment of client money into segregated accounts Version Date: 01/04/2003



(1) A licensed corporation or an associated entity of a licensed corporation that receives or holds client money of the licensed corporation as referred to in subsection (3) shall establish and maintain in Hong Kong one or more segregated accounts for client money in accordance with subsection (2), each of which shall be designated as a trust account or client account.
(2) A segregated account referred to in subsection (1) shall be established and maintained with-
(a) an authorized financial institution; or
(b) any other person approved by the Commission for the purposes of this section, either generally or in a particular case.
(3) The following amounts of client money of a licensed corporation that are received or held by the licensed corporation or an associated entity of a licensed corporation shall be dealt with in accordance with subsection (4)-
(a) all amounts that are received from or on behalf of a client of the licensed corporation in respect of dealing in securities or future contracts-
(i) less brokerage and other proper charges in connection with such dealing;
(ii) except those amounts that the licensed corporation is required to pay on the day of receipt or within the following 2 business days in order to meet the client's obligations to meet settlement or margin requirements in respect of such dealing; and
(iii) except those amounts that are reimbursements to the licensed corporation of money which the licensed corporation has paid at any time before the day of receipt in order to meet the client's obligations to meet settlement or margin requirements in respect of such dealing;
(b) all amounts that are received from or on behalf of a client of the licensed corporation to whom the licensed corporation provides financial accommodation to facilitate the acquisition and, where applicable, the continued holding of securities, except those amounts that are used to reduce the amount owed by the client to the licensed corporation;
(c) all amounts that are received from or on behalf of a client of the licensed corporation in respect of leveraged foreign exchange trading, less brokerage and other proper charges in connection with such trading;
(d) all other amounts that are received from or on behalf of a client of the licensed corporation, except-
(i) the amounts referred to in paragraph (a)(i), (ii) and (iii);
(ii) the amounts that are used to reduce the amount of financial accommodation owed by a client of the licensed corporation to the licensed corporation, as referred to in paragraph (b); and
(iii) the brokerage and other proper charges referred to in paragraph (c).
(4) Within one business day after a licensed corporation or an associated entity of a licensed corporation receives any amount of client money of the licensed corporation as referred to in subsection (3), the licensed corporation or associated entity shall pay it-
(a) into a segregated account;
(b) to the client from whom or on whose behalf it has been received;
(c) subject to subsection (6), in accordance with a written direction; or
(d) subject to subsections (5) and (6), in accordance with a standing authority.
(5) A licensed corporation or an associated entity of a licensed corporation shall not pay any amount of client money of the licensed corporation under subsection (4)(d) if-
(a) to do so would be unconscionable; or
(b) the standing authority authorizes payment to an account in Hong Kong of the licensed corporation or associated entity, or an account in Hong Kong of any corporation with which the licensed corporation is in a controlling entity relationship or in relation to which the associated entity is a linked corporation, and that account is not a segregated account.
(6) Neither a licensed corporation nor an associated entity of a licensed corporation may pay, or permit to be paid, any amount of client money of the licensed corporation to-
(a) any of its officers or employees; or
(b) any officer or employee of any corporation with which the licensed corporation is in a controlling entity relationship or in relation to which the associated entity is a linked corporation,
unless that officer or employee is the client of the licensed corporation from whom or on whose behalf such client money has been received.


Section: 5 Heading: Payment of client money out of segregated accounts Version Date: 01/04/2003



(1) A licensed corporation or an associated entity of a licensed corporation that holds any amount of client money of the licensed corporation in a segregated account shall retain it there until it is-
(a) paid to the client of the licensed corporation, being the client on whose behalf it is being held;
(b) subject to subsection (3), paid in accordance with a written direction;
(c) subject to subsections (2) and (3), paid in accordance with a standing authority;
(d) required in order to meet the client's obligations to meet settlement or margin requirements in respect of dealing in securities or futures contracts carried out by the licensed corporation on behalf of the client of the licensed corporation, being the client on whose behalf it is being held; or
(e) required to pay money that the client of the licensed corporation, being the client on whose behalf it is being held, owes-
(i) to the licensed corporation in respect of the carrying on by the licensed corporation of any regulated activity for which it is licensed; or
(ii) to the associated entity in respect of the receipt or holding of client money for or on behalf of the client by the associated entity.
(2) A licensed corporation or an associated entity of a licensed corporation shall not pay any amount of client money of the licensed corporation under subsection (1)(c) if-
(a) to do so would be unconscionable; or
(b) the standing authority authorizes payment to an account in Hong Kong of-
(i) the licensed corporation or associated entity in circumstances other than those set out in subsection (1)(d) or (e); or
(ii) any corporation with which the licensed corporation is in a controlling entity relationship or in relation to which the associated entity is a linked corporation,
and that account is not a segregated account.
(3) Neither a licensed corporation nor an associated entity of a licensed corporation as referred to in subsection (1) may pay, or permit to be paid, any client money of the licensed corporation to-
(a) any of its officers or employees; or
(b) any officer or employee of any corporation with which the licensed corporation is in a controlling entity relationship or in relation to which the associated entity is a linked corporation,
unless that officer or employee is the client on whose behalf such client money is being held.

Section: 6 Heading: Treatment of interest on client money held in segregated accounts Version Date: 01/04/2003



(1) Subject to subsection (2), a licensed corporation or an associated entity of a licensed corporation that holds client money of the licensed corporation shall deal with amounts of interest derived from the holding of the client money in a segregated account in accordance with section 5(1).
(2) Any amount of interest retained in a segregated account which the licensed corporation or associated entity that holds the client money in question is entitled to retain under an agreement in writing with a client of the licensed corporation, being the client on whose behalf the client money is being held, shall be paid out of the account by the licensed corporation or associated entity within one business day after-
(a) the interest is credited to the account; or
(b) the licensed corporation or associated entity becomes aware that the interest has been credited to the account,
whichever is the later.


Section: 7 Heading: Requirements in respect of a client's written direction Version Date: 01/04/2003



For the purposes of section 4(4)(c) or 5(1)(b), a written direction is a written notice that-
(a) relates to an amount of client money of a licensed corporation referred to in that section;
(b) is given to the licensed corporation or an associated entity of the licensed corporation by the client of the licensed corporation-
(i) from whom or on whose behalf that amount of client money was received; or
(ii) on whose behalf that amount of client money is being held;
(c) directs the licensed corporation or associated entity to pay that amount of client money in a particular manner; and
(d) ceases to have effect after the client money to which it relates has been paid by the licensed corporation or associated entity in the manner directed.


Section: 8 Heading: Requirements in respect of a client's standing authority Version Date: 01/04/2003



(1) For the purposes of section 4(4)(d) or 5(1)(c), a standing authority is a written notice that-
(a) is given to a licensed corporation or an associated entity of a licensed corporation by a client of the licensed corporation;
(b) authorizes the licensed corporation or associated entity to deal with client money from time to time-
(i) received from or on behalf of; or
(ii) held on behalf of,
the client, in one or more specified ways;
(c) subject to subsection (2), specifies a period not exceeding 12 months during which it is valid; and
(d) specifies the manner in which it may be revoked.
(2) Subsection (1)(c) shall not apply to a standing authority which is given to a licensed corporation or an associated entity of a licensed corporation by a client of the licensed corporation who is a professional investor.
(3) A standing authority which is not revoked prior to its expiry-
(a) may be renewed for one or more further periods-
(i) not exceeding 12 months, if the client of the licensed corporation who gave it is not a professional investor; or
(ii) of any duration, if the client of the licensed corporation who gave it is a professional investor,
at any one time, with the written consent of the client of the licensed corporation who gave it; or
(b) shall be deemed to have been renewed if-
(i) at least 14 days prior to the expiry of the standing authority, the licensed corporation or associated entity to which it was given, gives a written notice to the client of the licensed corporation who gave the standing authority, reminding the client of its impending expiry, and informing the client that unless the client objects, it will be renewed upon expiry upon the same terms and conditions as specified in the standing authority and for-
(A) an equivalent period to that specified in the standing authority;
(B) any period not exceeding 12 months specified by the licensed corporation or associated entity, if the client of the licensed corporation is not a professional investor; or
(C) a period of any duration specified by the licensed corporation or associated entity, if the client of the licensed corporation is a professional investor; and
(ii) the client does not object to the renewal of the standing authority before its expiry.
(4) Where a standing authority is deemed to have been renewed in accordance with subsection (3)(b), the licensed corporation or associated entity (as the case may be) shall give a written confirmation of the renewal of the standing authority to the client of the licensed corporation within one week after the date of expiry.



Section: 9 Heading: Receipt of cheques for client money Version Date: 01/04/2003



For the purposes of section 4(3)(a) and (4), a licensed corporation or an associated entity of a licensed corporation that receives a cheque for an amount of client money is regarded as having received such amount only upon receipt by it of the proceeds of that cheque.


Section: 10 Heading: Requirement to pay money other than client money out of segregated accounts Version Date: 01/04/2003



A licensed corporation or an associated entity of a licensed corporation which becomes aware that it is holding an amount of money in a segregated account that is not client money of the licensed corporation shall, within one business day of becoming so aware, pay that amount of money out of the segregated account.


Section: 11 Heading: Reporting of non-compliance with certain provisions of these Rules Version Date: 01/04/2003



If a licensed corporation or an associated entity of a licensed corporation to which section 4(1) or (4) or 5(1) applies becomes aware that it does not comply with such section, it shall, within one business day thereafter, give written notice of that fact to the Commission.


Section: 12 Heading: Penalties Version Date: 01/04/2003



(1) A licensed corporation, or an associated entity of a licensed corporation, which, without reasonable excuse, contravenes section 4 or 5 commits an offence and is liable-
(a) on conviction on indictment to a fine of $200000 and to imprisonment for 2 years; or
(b) on summary conviction to a fine at level 6 and to imprisonment for 6 months.
(2) A licensed corporation, or an associated entity of a licensed corporation, which, with intent to defraud, contravenes section 4 or 5 commits an offence and is liable-
(a) on conviction on indictment to a fine of $1000000 and to imprisonment for 7 years; or
(b) on summary conviction to a fine of $500000 and to imprisonment for 1 year.
(3) A licensed corporation, or an associated entity of a licensed corporation, which, without reasonable excuse, contravenes section 6, 8(4), 10 or 11 commits an offence and is liable on conviction to a fine at level 3.
(4) A licensed corporation, or an associated entity of a licensed corporation, which, with intent to defraud, contravenes section 6, 8(4), 10 or 11 commits an offence and is liable on conviction to a fine at level 6.
(5) In deciding whether or not a payment of client money under section 4(5)(a) or 5(2)(a) would be unconscionable, the court shall have regard to the factors specified in section 6 of the Unconscionable Contracts Ordinance (Cap 458), as if the standing authority in question were a contract under that Ordinance.

“相连法团”(linked corporation) 就持牌法团的有联系实体而言,指符合以下说明的法团─
(a) 该有联系实体属该法团的控权实体;
(b) 该法团属该有联系实体的控权实体;或
(c) 某人士属该法团的控权实体,亦属该有联系实体的控权实体;
“书面指示”(written direction) 具有第7条给予该词的涵义;

(3) 本规则不适用于在由持牌法团的客户以该客户的名义开立及维持的银行帐户内的该法团的客户款项。


条: 4 条文标题: 将客户款项存入独立帐户 版本日期: 01/04/2003



(1) 持牌法团或持牌法团的有联系实体如收取或持有第(3)款提述的该法团的客户款项,则须按照第(2)款在香港为客户款项开立和维持一个或多于一个独立帐户,而每个该等帐户均须指定为信托帐户或客户帐户。
(2) 第(1)款提述的独立帐户须在以下机构或人士处开立和维持─
(a) 认可财务机构;或
(b) 证监会为施行本条而就一般或个别个案批准的任何其他人士。
(3) 持牌法团或持牌法团的有联系实体所收取或持有的该法团的以下客户款项款额须按照第(4)款处理─
(a) 从该法团的客户或代该客户收取的与证券交易或期货合约交易有关的所有款额,但─
(i) 须减去与该等交易有关连的佣金及其他恰当收费;
(ii) 该法团在收取上述款额当日或随后的2个营业日内,为履行该客户须就该等交易遵从关于交收或保证金的规定的义务所支付的任何款额则除外;及
(iii) 用以补还该法团在收取上述款额当日之前的任何时候,为履行该客户须就该等交易遵从关于交收或保证金的规定的义务所支付的任何款额则除外;
(b) 从获该法团提供财务通融以利便取得和(如适用的话)继续持有证券的该法团的客户收取,或代该客户收取的所有款额,但用以减低该客户对该法团的欠款的款额则除外;
(c) 就杠杆式外汇交易而从该法团的客户或代该客户收取的所有款额,但须减去与该项交易有关连的佣金及其他恰当收费;
(d) 从该法团的客户或代该客户收取的所有其他款额,但以下项目除外─
(i) (a)(i)、(ii)及(iii)段提述的款额;
(ii) (b)段提述的用以减低该法团的客户就财务通融对该法团的欠款的款额;及
(iii) (c)段提述的佣金及其他恰当收费。
(4) 持牌法团或持牌法团的有联系实体须在收取第(3)款提述的该法团的客户款项款额后的一个营业日内─
(a) 将该款额存入独立帐户;
(b) 将该笔从有关客户或代有关客户收取的款额支付予有关客户;
(c) 在不抵触第(6)款的规定下,按照书面指示支付该款额;或
(d) 除第(5)款另有规定外并在不抵触第(6)款的规定下,按照常设授权支付该款额。
(5) 持牌法团或持牌法团的有联系实体不得在以下情况下根据第(4)(d)款支付该法团的客户款项款额─
(a) 如它支付有关款额即会属不合情理;或
(b) 如有关的常设授权授权向该法团或有联系实体在香港的帐户,或向任何与该法团有控权实体关系或以该有联系实体属为相连法团的法团在香港的帐户支付款额,而该帐户并非独立帐户。
(6) 持牌法团或持牌法团的有联系实体不得将该法团的任何客户款项款额支付予或准许将任何该等款额支付予─
(a) 其任何高级人员或雇员;或
(b) 和该持牌法团有控权实体关系或以该有联系实体属为相连法团的法团的任何高级人员或雇员,
但如该高级人员或雇员是该持牌法团的客户,而该等客户款项是从他或代他收取的,则属例外。


条: 5 条文标题: 从独立帐户提取客户款项 版本日期: 01/04/2003



(1) 持牌法团或持牌法团的有联系实体如持有在独立帐户内的该法团的客户款项款额,须将该款额一直保留在该帐户内,直至以下情况出现为止─
(a) 该笔代该法团的客户持有的款额已支付予该客户;
(b) 在不抵触第(3)款的规定下,按照书面指示支付;
(c) 除第(2)款另有规定外并在不抵触第(3)款的规定下,按照常设授权支付;
(d) 该笔代该法团的客户持有的款额,须用于履行该客户须就该法团代其进行的证券交易或期货合约交易遵从关于交收或保证金的规定的义务;或
(e) 该笔代该法团的客户持有的款额须用以支付以下款项─
(i) 该客户就该法团进行该法团获发牌进行的任何受规管活动而欠该法团的款项;或
(ii) 该客户就该有联系实体为该客户或代该客户收取或持有客户款项而欠该有联系实体的款项。
(2) 持牌法团或持牌法团的有联系实体不得在以下情况下根据第(1)(c)款支付该法团的客户款项款额─
(a) 如它支付有关款额即会属不合情理;或
(b) 如常设授权授权─
(i) 在第(1)(d)或(e)款列明的情况以外的情况下,向该法团或有联系实体在香港的帐户支付款项;或
(ii) 向任何与该法团有控权实体关系或以该有联系实体为相连法团的法团在香港的帐户支付款项,
而该帐户并非独立帐户。
(3) 第(1)款提述的持牌法团或持牌法团的有联系实体不得将该法团的任何客户款项支付予或准许将该等款项支付予─
(a) 其任何高级人员或雇员;或
(b) 和该持牌法团有控权实体关系或以该有联系实体属为相连法团的法团的任何高级人员或雇员,
但如该高级人员或雇员是有关客户,而该客户款项是代他持有的,则属例外。

(a) 该利息记入该帐户的贷方;或
(b) 该法团或有联系实体察觉该利息已记入该帐户的贷方,
(两者以较迟者为准)后一个营业日内,从该帐户发放该利息款额。

(a) 可续期一次或多于一次,每次续期─
(i) (如给予该授权的持牌法团的客户并非专业投资者)不得超过12个月;或
(ii) (如给予该授权的持牌法团的客户属专业投资者)时间长短不限,
但续期须获给予该授权的持牌法团的客户的书面同意;或
(b) 须在下述情况下当作已续期─
(i) 在该授权的有效期届满前的14日之前,获给予该授权的持牌法团或有联系实体向给予该授权的该法团的客户发出书面通知,提醒该客户该授权的有效期即将届满,并通知该客户除非他提出反对,否则该授权会在届满时按该授权指明的相同条款及条件续期,而续期期间为─
(A) 该授权指明的相等期间;
(B) (如该持牌法团的客户并非专业投资者)任何由该持牌法团或有联系实体指明的不超过12个月的期间;或
(C) (如该持牌法团的客户属专业投资者)由该持牌法团或有联系实体指明的任何期限的期间;及
(ii) 该客户没有在该授权届满前反对该授权续期。
(4) 凡常设授权按照第(3)(b)款当作已续期,有关持牌法团或有联系实体(视属何情况而定)须在该授权届满日期后的1星期内,将该授权续期的确认书给予该法团的有关客户。

(3) 任何持牌法团或持牌法团的有联系实体无合理辩解而违反第6、8(4)、10或11条,即属犯罪,一经定罪,可处第3级罚款。
(4) 任何持牌法团或持牌法团的有联系实体意图诈骗而违反第6、8(4)、10或11条,即属犯罪,一经定罪,可处第6级罚款。
(5) 在决定根据第4(5)(a)或5(2)(a)条支付客户款项是否属不合情理时,法庭须考虑《不合情理合约条例》(第458章)第6条所指明的因素,犹如有关的常设授权属该条例所指的合约一样。

(1) In these Rules, "CE number" (中央编号) means the central entity identification number assigned by the Commission to a licensed person or a registered institution which is shown, in relation to each licence or registration, on the register maintained under section 136 of the Ordinance.
(2) Where an associated entity that becomes or ceases to be such associated entity is an authorized financial institution, a requirement in these Rules for it to provide particulars to the Commission shall not be construed as a requirement to provide particulars relating to its business other than that of receiving or holding client assets of any intermediary of which it is an associated entity.


Section: 3 Heading: Particulars to be notified on becoming an associated entity Version Date: 01/04/2003



(1) For the purposes of section 165 of the Ordinance, the particulars required to be provided to the Commission in the event that a licensed corporation or a registered institution becomes an associated entity of an intermediary are-
(a) its name and business name (if different);
(b) its CE number;
(c) the date it became an associated entity of the intermediary; and
(d) the name of the intermediary.
(2) For the purposes of section 165 of the Ordinance, the particulars required to be provided to the Commission in the event that a corporation other than a licensed corporation or a registered institution becomes an associated entity of an intermediary are-
(a) its name and business name (if different);
(b) the date and place of its incorporation;
(c) the address of its registered office;
(d) the address of its principal place of business in Hong Kong (if any);
(e) its correspondence address;
(f) its telephone and facsimile numbers, electronic mail address (if any) and web site address (if any);
(g) the date it became an associated entity of the intermediary;
(h) the name of the intermediary;
(i) whether it has any executive officers and, if so, the following particulars of each of the executive officers-
(i) the name of the executive officer;
(ii) the Hong Kong identity card number of the executive officer or, if he is not the holder of such an identity card, the number, the name of the issuing agency and the date of expiry of his passport, travel or other document issued by a competent government agency providing proof of identity;
(iii) his residential address in Hong Kong (if any); and
(iv) his correspondence address;
(j) the following particulars of each person who is its controlling entity-
(i) the name of the person;
(ii) where the person is an individual-
(A) his Hong Kong identity card number or, if he is not the holder of such an identity card, the number, the name of the issuing agency and the date of expiry of his passport, travel or other document issued by a competent government agency providing proof of identity;
(B) his residential address in Hong Kong (if any); and
(C) his correspondence address; and
(iii) where the person is a corporation-
(A) if it is registered under the Business Registration Ordinance (Cap 310), its business registration number;
(B) the address of its principal place of business in Hong Kong (if any); and
(C) its correspondence address;
(k) the address of each of the premises where books and records relating to client assets of the intermediary, which are received or held by it in Hong Kong, are kept;
(l) the facts that gave rise to the corporation becoming an associated entity of the intermediary;
(m) subject to subsection (3), whether it is aware of the existence of any matter that might render it insolvent or lead to the appointment of a liquidator; and
(n) subject to subsection (3), the following particulars in respect of any bank account of it that holds, or that has been opened to hold, client assets of the intermediary that are received or held by it in Hong Kong-
(i) the name of the bank with which the account is opened; and
(ii) the number of the account.
(3) Where an associated entity that becomes such associated entity is an authorized financial institution, subsection (2)(m) and (n) does not apply to it.

Section: 4 Heading: Particulars to be notified on ceasing to be an associated entity Version Date: 01/04/2003



(1) For the purposes of section 165 of the Ordinance, the particulars required to be provided to the Commission in the event that a licensed corporation or a registered institution ceases to be an associated entity of an intermediary are-
(a) its name and business name (if different);
(b) its CE number;
(c) the date it ceased to be an associated entity of the intermediary; and
(d) the name of the intermediary.
(2) For the purposes of section 165 of the Ordinance, the particulars required to be provided to the Commission in the event that a corporation other than a licensed corporation or a registered institution ceases to be an associated entity of an intermediary are-
(a) the date it ceased to be an associated entity of the intermediary;
(b) the name of the intermediary;
(c) whether all client assets of the intermediary that are received or held by it prior to its ceasing to be such associated entity have been fully accounted for and properly disposed of and, if not, the particulars of any such client assets of the intermediary that have not been fully accounted for and properly disposed of; and
(d) the facts that gave rise to the corporation ceasing to be an associated entity of the intermediary.
(3) Where an associated entity that ceases to be such associated entity is an authorized financial institution, subsection (2)(c) does not apply to it.
